These Terms of Service ("Terms") govern your access to and use of Placed's websites, applications, and services (collectively, the "Service"), operated by Arbr Rooms Inc. ("Placed," "we," "our," or "us").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, including the community rules in Section 5. If you do not agree, do not use the Service.
1. The Service
Placed is a platform that allows individuals, creators, brands, and organizations to create digital spaces ("Places") and to display the things that matter to them ("artifacts"), moments, media, products, and links, and to engage audiences. People can follow each other, comment, like, and save what others post. Some features use artificial intelligence (Section 7).
Placed may modify, suspend, or discontinue any part of the Service at any time without notice.
2. Eligibility
You must be at least 13 years old to use the Service. Users under the age of 13 are not permitted, and Placed does not knowingly collect information from children under 13 in compliance with the Children's Online Privacy Protection Act (COPPA). If you are between 13 and 18 years old, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
By using the Service, you represent that:
• You are legally capable of entering into a binding agreement
• All information you provide is accurate and up to date
3. Accounts
You are responsible for:
• Maintaining the confidentiality of your account and sign-in methods
• All activity that occurs under your account
Placed is not liable for any loss or damage arising from unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms. You can delete your account at any time from inside the app (Section 11).
4. User Content
a. Ownership.
You retain ownership of all content you upload or submit to the Service, including photos, videos, captions, notes, comments, and Places ("User Content").
b. License to Placed.
By submitting User Content, you grant Placed a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, display, and distribute your content solely for the purpose of operating and improving the Service. This includes processing it with the service providers described in our Privacy Policy, such as the AI features in Section 7. Placed will not use your name, image, likeness, or User Content in external marketing, advertising, or promotional campaigns without your prior written consent. Any such promotional use will be subject to a separate written agreement.
c. Visibility.
Content you post may be visible to anyone, including people without an account and visitors to Placed on the web, unless your settings limit who can see it.
d. Name, Image & Likeness (NIL).
Creators who are professional athletes, musicians, or public figures represent and warrant that:
• They hold the rights to use their own name, image, and likeness (NIL) commercially through the Service
• Their participation does not violate any existing exclusivity agreement, league rule, union rule, or third-party contract
• Any NIL rights associated with third parties (e.g., estates, agents, institutions) have been cleared prior to upload
Placed does not assume responsibility for NIL disputes arising from content uploaded by creators.
e. Responsibility.
You are solely responsible for your User Content and represent that you own or have the rights to it, and that it does not violate laws, third-party rights, or Section 5. Placed does not endorse User Content and is not responsible for it.
5. Community Rules: Zero Tolerance for Objectionable Content and Abusive Users
Placed has zero tolerance for objectionable content and abusive users. You agree not to post, upload, generate, or share content, and not to behave in a way, that:
• Is sexually explicit or pornographic, or sexualizes or exploits minors in any way
• Harasses, bullies, threatens, intimidates, or targets another person
• Attacks or demeans people based on race, ethnicity, national origin, religion, caste, sex, gender identity, sexual orientation, disability, or serious disease
• Promotes or glorifies violence, terrorism, self-harm, or suicide
• Sells or promotes illegal goods or services, weapons, or drugs
• Is spam, a scam, misleading, or fraudulent
• Impersonates any person or organization, or misrepresents your affiliation, identity, or endorsements
• Shares someone else's private information without their permission
• Infringes intellectual property, privacy, or publicity rights
• Violates any law or regulation
You also agree not to upload malicious code, attempt to disrupt the Service, or scrape, reverse engineer, or exploit the Service without permission.
We may remove any content and suspend or terminate any account that breaks these rules, at our discretion and without notice.
6. Reporting and Blocking
• Report: you can report any profile, Place, artifact, moment, photo, video, or comment from its ⋯ menu in the app (press and hold a comment). Reports go to our team. We review reports within 24 hours, remove content that breaks these Terms, and may suspend or terminate the account that posted it.
• Block: you can block anyone from the ⋯ menu on their profile. A blocked person can no longer see your profile or content, follow you, or comment on your posts, and any follows between you are removed. Manage blocked accounts in Settings › Privacy › Blocked accounts.

7. AI Features
Some features use artificial intelligence: cutting an item out of a photo, identifying what it is, and building or furnishing a Place. To provide them, Placed sends the photos and related text you choose to third-party AI providers, as described in our Privacy Policy. The app asks for your permission before you use these features for the first time.
• AI results can be wrong (for example, an item's name, brand, or price). Check them before you publish.
• Content you create with AI features and publish is your User Content and must follow Section 5.
• AI-generated images may resemble images made for other people and may not be unique.
8. Shopping, Links & Payments
The Service may show products and link to the seller's own website. Purchases you make there are between you and that seller, under the seller's terms. Placed is not a party to them and is not responsible for products, prices, or delivery.
Some features may in the future involve payments, transactions, or monetization. When they do, payments are processed by third-party providers, Placed is not responsible for payment processor errors, and fees, revenue splits, and payout terms will be disclosed where applicable. All sales are final unless otherwise required by applicable law. Nothing in these Terms limits any consumer rights you may have under the laws of your jurisdiction.
9. Intellectual Property
All intellectual property related to the Service (excluding User Content) is owned by Placed or its licensors. You may not copy, modify, distribute, or create derivative works from the Service without permission.
If you believe content on Placed infringes your copyright or trademark, report it in the app (choose "Intellectual property") or email support@placedby.me. Include the content's link, your contact details, and a description of your work. We remove infringing content and terminate repeat infringers.
10. Third-Party Services & Data Processing
The Service may integrate or link to third-party tools, websites, or services, such as Apple Music for a Place's soundtrack, which requires your own subscription and is governed by Apple's terms. Placed is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.
For enterprise partners, brands, or organizations for whom Placed processes data as part of the Service, a separate Data Processing Agreement (DPA) is available upon request. Please contact us at the address below.
11. Termination & Account Deletion
You may stop using the Service at any time. You can delete your account in the app at Menu › Account › Delete account. Deletion takes effect immediately: you are signed out everywhere, and your profiles, Places, moments, and content stop being visible. Your data is removed from our systems within 30 days, except limited records we must keep by law. Deletion cannot be undone.
Placed may suspend or terminate your access immediately if:
• You violate these Terms
• Your use creates legal or security risk
• Required by law or regulation
Termination does not limit our other legal rights.
12. Dispute Resolution & Arbitration
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. This agreement to arbitrate applies to all claims regardless of legal theory.
YOU AND PLACED EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. You may only bring claims in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent intellectual property infringement or unauthorized use of the Service.
If any part of this arbitration provision is found unenforceable, that part will be severed, and the remainder will continue in effect.
13. Disclaimer of Warranties
The Service, including AI results, is provided "as is" and "as available." Placed makes no warranties, express or implied, including fitness for a particular purpose; availability, reliability, or accuracy; or that the Service will be uninterrupted or error-free. Use the Service at your own risk.
14. Limitation of Liability
To the maximum extent permitted by law, Placed shall not be liable for indirect, incidental, or consequential damages, or for lost profits, revenue, data, or business opportunities. In no event shall Placed's total liability exceed the amount you paid Placed in the past 12 months (or $100 if none).
15. Indemnification
You agree to indemnify and hold harmless Placed, its officers, employees, and affiliates from any claims arising from:
• Your use of the Service
• Your User Content
• Your violation of these Terms or applicable law
• Any NIL, publicity rights, or intellectual property disputes arising from content you upload
16. Apple App Store Terms
If you got the Placed app from Apple's App Store, these terms also apply:
• These Terms are between you and Placed, not Apple. Placed, not Apple, is responsible for the app and its content.
• Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store's Usage Rules.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the app's purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
• Placed, not Apple, is responsible for any product liability, legal compliance, or consumer protection claims about the app, and for any claim that the app infringes a third party's intellectual property.
• You represent that you are not located in a country subject to a U.S. Government embargo, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. To the extent any dispute is not subject to arbitration under Section 12, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
18. Changes to These Terms
We may update these Terms from time to time. We will post the new version here with a revised date and, for material changes, tell you in the app or by email. Continued use of the Service after changes means you accept the updated Terms.
